Terms of Service

Last updated: July 27, 2026

Docora ("Docora," "we," "us," or "our") is a product operated by SpectrumX Technologies (Private) Limited. These Terms of Service ("Terms") govern your access to and use of Docora, including our website, dashboard, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What Docora Is

Docora is a software tool that helps freelancers, agencies, and small businesses create proposals, contracts, and invoices, including AI-assisted drafting of proposal and contract content. Docora is a software provider only. Docora is not a party to, and has no involvement in, any agreement, project, or transaction between you and your own clients.

2. Payment Processing — Important Disclaimer

Docora is not a payment processor, merchant of record, or money transmitter for any payments between you and your clients.

When you send an invoice through Docora, payment from your client is collected through one of the following, entirely outside of Docora:

  • Stripe (your own account): If you connect your own Stripe account, checkout sessions are created using your own API credentials. Funds are paid directly into your Stripe account. Docora never receives, holds, or has access to these funds at any point.
  • Bank transfer: Payment is made directly by your client to your bank account, using details you provide. Docora has no role in this transfer.
  • Manual payment link: Payment is made through a third-party link you provide (e.g. PayPal, Wise, or your own Stripe link). Docora has no role in this transaction.

You are solely responsible for:

  • Your own relationship and agreement with the payment processor you use (Stripe, PayPal, your bank, or otherwise), including their fees, terms, and compliance requirements (such as PCI-DSS compliance, which is the responsibility of the payment processor, not Docora).
  • Any taxes, duties, or reporting obligations arising from payments you receive.
  • Resolving any payment disputes, chargebacks, or refund requests directly with your client and your payment processor.

Docora's own subscription fees (what you pay Docora for access to the Service) are billed separately through Paddle.com, acting as Merchant of Record for Docora's subscription billing only. This is unrelated to, and separate from, any payments you collect from your own clients.

3. Your Account and Responsibilities

You are responsible for:

  • The accuracy of all content you send to your clients through Docora, including AI-generated proposals, contracts, and invoices. You must review all AI-generated content before sending it — Docora does not guarantee its accuracy, completeness, or legal sufficiency.
  • Maintaining the confidentiality of your account credentials and any payment credentials you connect to Docora (including Stripe API keys and bank account details).
  • Complying with all laws applicable to your business, including tax, consumer protection, and data protection laws in the jurisdictions where you and your clients operate.
  • The legality and appropriateness of the content you generate and send using the Service.

4. AI-Generated Content

Docora uses third-party AI providers (including OpenAI and Google) to help draft proposal and contract content. This content is provided as a drafting aid only. Docora does not review, verify, or guarantee the accuracy, legal validity, or fitness for purpose of any AI-generated content. You are solely responsible for reviewing and editing this content before it is sent to a client or relied upon in any way.

5. Subscription, Billing, and Cancellation

  • Paid plans are billed on a recurring basis (monthly or annually) through Paddle.com.
  • Paid plans include a free trial period as described at checkout. You will not be charged until the trial ends unless you cancel before it does.
  • You may cancel your subscription at any time through your account settings; cancellation will take effect at the end of your current billing period.
  • Refunds, where applicable, are subject to our Refund & Cancellation Policy, and are processed through Paddle.

6. Acceptable Use

You agree not to use the Service to:

  • Send fraudulent, deceptive, or illegal proposals, contracts, or invoices.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Service or other users' accounts.
  • Use the Service to violate any applicable law or the rights of any third party.

We reserve the right to suspend or terminate accounts that violate this section.

7. Data and Content Ownership

You retain ownership of the content you create using the Service (proposals, contracts, invoices, client information). You grant Docora a limited license to store, process, and transmit this content solely as necessary to provide the Service to you (for example, sending your proposal to your client, or processing an AI generation request).

8. Third-Party Services

The Service relies on third-party providers, including OpenAI, Google (Gemini), Stripe, Paddle, and cloud infrastructure providers. Docora is not responsible for the availability, performance, or acts or omissions of these third-party services. Interruptions to these services may affect your ability to use certain features of Docora.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Docora's total liability to you for any claim arising from your use of the Service is limited to the amount you paid to Docora in the twelve (12) months preceding the claim.
  • Docora is not liable for any indirect, incidental, special, or consequential damages, including lost profits or lost business, arising from your use of the Service.
  • Docora is not liable for any dispute, loss, or damage arising between you and your clients, including disputes over payment, project scope, or contract terms.
  • Docora is not liable for any loss arising from the unavailability or malfunction of third-party services (including AI providers, Stripe, or Paddle).

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent or illegal activity, or fail to pay applicable fees. You may close your account at any time. Upon termination, your right to use the Service ends, and we will handle your data in accordance with our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Pakistan.

[This clause requires legal review — governing law and dispute resolution terms for a company serving international customers should be confirmed with a qualified lawyer, including whether an alternative dispute resolution mechanism (e.g. arbitration) is more appropriate.]
